1. Nature of Business. The partners listed above hereby agree that they shall be considered partners in business for the following purpose:

10. Confidential Information. A partner may receive information, which the other considers confidential and proprietary (“Confidential Information”).
(a) Except as otherwise provided for herein, Confidential Information includes: (i) all information disclosed in writing by either Party to the other which is legibly marked “Confidential” or with words of similar meaning and (ii) all information disclosed in the course of a verbal exchange or in a writing not containing a proprietary legend, but which is reduced to writing and/or to which a proprietary legend is affixed by the disclosing Party within thirty (30) days after disclosure.
